## SERVICE AGREEMENT

**Provider:** Kimmy Walker Enterprises, doing business as Kimmy Walker ("we", "us")
**Client:** the individual or business named at checkout ("you")
**Effective date:** the date of your first successful payment

---

### 1. What this service is

We provide **managed cloud infrastructure and server administration**. On your behalf we
lease, configure, secure, monitor, back up, and maintain a private server environment
running automation software, reachable at a web address we assign you (for example
`yourname.ownthestack.io`).

We are an infrastructure and support provider. We are not the maker of the automation
software running in your environment, and we do not claim ownership of it. That software
is provided under its own publisher's license, which governs your use of it.

### 2. What your monthly fee includes

- A private, dedicated server environment for your exclusive use
- Installation, configuration, and secure hosting of that environment
- Security patches and platform updates
- Automated nightly backups, retained per section 6
- Server and uptime monitoring
- Account administration and billing support

### 3. What your monthly fee does not include

Your subscription does **not** include any work inside your environment. The following
are available separately as paid work (section 5), or you may do them yourself or hire
anyone you choose:

- Building, designing, or configuring automations or workflows
- Diagnosing or repairing automations that stop working
- Connecting third-party services, APIs, or credentials
- AI prompt writing or tuning
- Training, consulting, or strategy
- Ongoing management of your automations

### 4. Your environment is yours

Your environment is dedicated to you and leased for your exclusive use for as long as
your subscription is active. You control what runs inside it. You may:

- Build and manage your own automations, yourself, at no additional cost
- Grant access to your own employees or contractors, at no additional cost
- Purchase implementation help from us: entirely optional (section 5)

You are responsible for the content, legality, and operation of everything you run in
your environment, and for the third-party accounts and credentials you connect to it.

### 5. Optional implementation work

Each Automation Library item shows an
estimated implementation price range. The range is a guide and may vary based on the
client's software, setup, and scope. The final project price is confirmed and paid in
full before work begins.

Custom work and anything outside the purchased scope are handled directly. Work pauses
while the team explains the added cost. No additional work begins until the client
accepts and pays that price.

Each implementation payment is attached to a named automation or written scope. The
service does not hold customer credit, prepaid hours, or an unused project balance.

### 6. Backups and data

We take automated nightly backups of your environment and retain them for 30 days,
stored encrypted with a third-party storage provider. Backups are a recovery aid, not a
guarantee. You are responsible for maintaining your own copies of anything you cannot
afford to lose. On request we will restore your environment from the most recent viable
backup; restoration is included in your subscription, and we target restoration within
24–48 hours.

We do not access, use, sell, or share the contents of your environment except as needed
to deliver, maintain, secure, or restore the service, or as required by law.

### 7. Acceptable use and fair use

You may not use your environment to send unsolicited bulk email, distribute malware,
infringe others' rights, violate any third party's terms of service, or break any
applicable law. Because your environment shares our network reputation, abuse harms
other clients; we may suspend an environment immediately for abuse, and will tell you why.

Your subscription includes server resources appropriate for typical automation use.
Sustained heavy usage: for example continuous browser automation or high-volume data
processing: may require a larger server. If your usage requires that, we will notify
you and offer either a resource upgrade at additional cost or a mutually agreed
adjustment. We will not upgrade your plan or charge you more without your consent.

### 8. Billing, suspension, and cancellation

Your subscription is $50 per month, billed monthly in advance, and renews
automatically until cancelled. Monthly fees are non-refundable except where required
by law.

If payment fails, we will attempt to reach you and retry. If payment is not resolved
within 7 days, your environment is suspended: it is stopped but your data is retained.
Restoring payment restores service.

You may cancel at any time; service continues through the end of your paid period. After
cancellation your environment is retained for **30 days**, during which you may request
either a full export of your data or transfer of the server to your own cloud account
(transfer assistance may require a separate quote). After that period the environment
is permanently deleted and backups are purged within 90 days. It is your
responsibility to retrieve your data within the retention window.

### 9. Uptime, maintenance, and support

We monitor your environment continuously and respond to outages promptly. We do not
offer a guaranteed uptime percentage or a guaranteed response time at this service
level. Cloud infrastructure, the automation software, and the third-party services you
connect to may experience outages outside our control.

We may perform maintenance, including software updates and reboots, and will give
advance notice for planned maintenance where practical. Urgent security patches may be
applied immediately.

### 10. Limitation of liability

The service is provided "as is," without warranties of any kind, express or implied.

**To the maximum extent permitted by law, our total liability to you for any claim
arising out of this agreement is limited to the amount you paid us in the three months
preceding the claim.** We are not liable for indirect, incidental, or consequential
damages, including lost profits, lost business, lost data, or losses caused by your
automations failing, running incorrectly, or not running.

You are responsible for the consequences of what you build and run. If your business
depends on an automation, you are responsible for verifying that it works.

### 11. Changes and termination

We may update these terms with 30 days' notice; continuing to pay after that constitutes
acceptance. We may update pricing with 30 days' notice, effective at your next renewal.

We may suspend or terminate service for non-payment, for violation of section 7, or on
30 days' notice for any reason.

### 12. General

This agreement is governed by the laws of Florida, and disputes will be resolved in
the courts of Okaloosa County, Florida. If any provision is unenforceable, the rest remains in
effect. This is the entire agreement between us regarding the service and replaces any
prior discussions.

## Before you use this: checklist

1. Confirm section 6 matches what the backups actually do (don't promise more).
2. Confirm section 8's cancellation window matches what the system actually does
(the build spec uses a 30-day grace period: keep them in sync).
3. Have clients accept it at checkout (a required checkbox linking to the terms page)
and keep a timestamped record. Acceptance you can't prove isn't worth much.
4. Publish it at a stable URL: `https://start.ownthestack.io/terms` after the GHL domain
is connected, and keep dated copies of every
   version.
5. Consider a one-time paid lawyer review once monthly revenue justifies it: the
sections most worth their time are 6 (data), 10 (liability), and 12 (jurisdiction).
